Standardize and streamline contract review by creating a playbook directly from your contracts.

What is a Playbook?

A Playbooks is a guide to help individuals or teams efficiently and consistently review, analyze, and negotiate contracts. It typically consists of guidelines on how to handle key clauses (e.g., indemnification, limitation of liability, confidentiality, intellectual property).

These can be used in Harvey for Word to help streamline contract review processes, saving time and ensuring consistency.

How Do Playbooks Work?

Playbook managers can upload a playbook directly to Harvey, see an initial converted view, and then edit directly. Once created, they can give users access to a standard playbook, allowing them to view the playbook and run it against a contract in Harvey for Word.

In practice, this can look like:

  • Uploading a standard playbook directly into the Harvey app and edit the clauses
  • Running a standard playbook against contracts in Harvey for Word to identify clauses that are acceptable, require review, or are unacceptable
  • Directly implementing redlined changes suggested by Harvey to align a clause with the playbook rule

How to Create a Playbook

Playbook managers can create a playbook in three ways:

  • Start from a template and build it manually
  • Upload an existing playbook for Harvey to convert into your standard format
  • Upload one or more contracts and let Harvey generate a playbook automatically using the “Create a Playbook” workflow

Using Create a Playbook Workflow

Note: Playbooks created through this workflow will live in Settings > Playbooks.

This workflow allows you to create a playbook from existing contracts, supporting one of two routes:

  • If you have a standard contract, this can be uploaded for Harvey to extract rule names and standard positions. Upload up to 10 additional contracts for Harvey to identify any less favorable positions as fallbacks.
  • If you do not have a standard contract, upload up to 10 contracts for Harvey to identify common rules, any deviations to be used as fallback positions, and assign the most favorable terms as standard positions.

Follow the steps below to begin creating a playbook.

  1. Click Workflows in the left-side menu, then select Create a Playbook.
  2. Select Create a New Playbook From a Contract, upload your file as prompted, and click Send.
    1. Note: Use your firm’s ideal precedent contract—such as a preferred template or standard form—as the first file you upload. Harvey will use this document to help define the rules in the next step.
  3. Review and confirm the rule names, then click Submit. Harvey will automatically add citations to each rule.
  4. Choose to either Upload Additional Documents or Skip This Step and Upload Your Created Playbook to Harvey.
    1. Additional documents can be additional recently negotiated contracts - these will be used to generate fallback positions.

Sharing Access to a Playbook

Playbook managers can give users either “view” or “edit” access to a specific playbook. For steps on granting access, follow Managing Word Add-In Playbooks (for Playbook Managers).

How to Export a Playbook

Note: Only playbook managers can export newly created Playbooks.

  1. Click Settings in the left sidebar, then select Playbooks.
  2. Click Review on the Playbook you want to export.
  3. In the top-right corner, click Export, then select your preferred file format.
